1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between your business entity ("Partner," "you," or "your") and FlowSeat Live ("Company," "we," "our," or "us") governing your access to and use of our B2B ticket brokerage services, website, and partner platform.

By accessing our platform, submitting a partnership application, or placing an order, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our services.

2. Partner Eligibility

To become a FlowSeat Live partner, you must meet the following requirements:

• Be a legally registered business entity in good standing
• Possess a valid business license for ticket resale or event-related services in your jurisdiction
• Have an authorized representative who is at least 18 years of age with authority to bind the business
• Provide accurate and complete business information during the application process
• Demonstrate legitimate business operations in ticket resale, event planning, corporate hospitality, or related industries

We reserve the right to verify your eligibility and decline applications at our sole discretion.

3. Account Registration and Security

Upon approval of your partnership application, you will be provided access to our partner platform. You agree to:

• Provide accurate, current, and complete registration information
• Maintain and promptly update your account information
• Keep your login credentials confidential and not share them with unauthorized parties
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use or security breach
• Maintain only one partner account per business entity

We reserve the right to suspend or terminate accounts that violate these Terms or engage in suspicious activity.

4. Services Description

FlowSeat Live provides wholesale ticket distribution services for sports events, concerts, theater, and entertainment venues. Our services include:

• Access to wholesale ticket inventory at competitive pricing
• Real-time inventory availability and pricing information
• Order placement and management through our partner portal
• Electronic and physical ticket fulfillment
• API integration for programmatic access (where available)
• Dedicated partner support

Important: Ticket availability, pricing, and event details are subject to change without notice. We do not guarantee the availability of specific tickets or events. All inventory is subject to prior sale.

5. Orders and Payments

Order Acceptance

All orders are subject to acceptance by FlowSeat Live. An order confirmation does not guarantee fulfillment until tickets are delivered. We reserve the right to cancel orders due to pricing errors, inventory issues, or suspected fraud.

Pricing

Prices are displayed in U.S. dollars and are subject to change. Your tier-based pricing is determined by your partnership agreement and volume commitments. Additional fees may apply for expedited delivery or special handling.

Payment Terms

• Payment terms are established in your partnership agreement (typically Net 15 or Net 30)
• We accept major credit cards, ACH transfers, and wire transfers
• Late payments may result in account suspension and late fees of 1.5% per month
• Credit limits are established based on your business history and payment performance

Cancellations and Refunds

Due to the nature of event tickets, all sales are final. Refunds are only provided if an event is officially cancelled by the venue or promoter and we are unable to provide replacement tickets. Postponed events are not eligible for refunds; original tickets remain valid for the rescheduled date.

6. Ticket Fulfillment

Delivery Methods

• Electronic Delivery: E-tickets and mobile transfers are typically delivered within 2-4 hours of order confirmation
• Physical Tickets: Hard tickets ship same-day for orders placed before 2 PM EST via expedited courier
• Will Call: Tickets left at venue box office (where available)

Partner Responsibilities

You are solely responsible for the delivery of tickets to your end customers. FlowSeat Live's responsibility ends upon successful delivery of tickets to you. Any disputes with end customers are your responsibility to resolve.

7. Intellectual Property

All content on our platform, including but not limited to text, graphics, logos, images, software, and the compilation thereof, is the property of FlowSeat Live or its licensors and is protected by copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable license to access and use our platform for legitimate business purposes in accordance with these Terms. You may not reproduce, distribute, modify, or create derivative works without our express written consent.

8. Prohibited Activities

You agree not to engage in any of the following prohibited activities:

• Using our services for any unlawful purpose
• Reselling tickets in violation of venue, promoter, or artist restrictions
• Engaging in ticket scalping where prohibited by law
• Submitting fraudulent orders or using stolen payment methods
• Attempting to circumvent platform security measures
• Scraping, harvesting, or copying data from our platform
• Interfering with the proper functioning of our services
• Misrepresenting your affiliation with FlowSeat Live
• Using automated systems to access our platform without authorization

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLOWSEAT LIVE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. ALL SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND.

10. Indemnification

You agree to indemnify, defend, and hold harmless FlowSeat Live and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your violation of these Terms; (b) your use of our services; (c) your violation of any third-party rights; or (d) any dispute between you and your end customers.

11. Termination

Either party may terminate this agreement at any time with 30 days written notice. We may suspend or terminate your access immediately without notice if:

• You breach any provision of these Terms
• We suspect fraudulent or illegal activity
• Your account becomes delinquent
• We discontinue our services

Upon termination, all outstanding balances become immediately due and payable. Provisions that by their nature should survive termination will remain in effect, including intellectual property, limitation of liability, and indemnification.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.

Any dispute arising from these Terms or your use of our services shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in New York City in accordance with the Commercial Arbitration Rules of the American Arbitration Association. Each party shall bear its own costs, and the arbitrator's decision shall be final and binding.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email to your registered address or through notice on our platform. Continued use of our services after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using our services and notify us of your intent to terminate.
